JFrog AI Addendum

This Addendum takes effect when you (“you” or “Customer”) click “I accept the terms and conditions of the AI Addendum”, or similar language, (the “Acceptance”). By accessing JFrog AI Features, you acknowledge that you understand and have read this Addendum, and that you have the right to accept these terms. If you do not agree and do not wish to enable the AI Features, do not press the “Agree and Enable button.” This Addendum only applies to the AI Features provided by JFrog and not to a service provided by a third party.

  1. APPLICATION OF THIS ADDENDUM
    1. AI Features. JFrog offers AI capabilities, including the AI assistant (“AI Features”), that are designed to enable Customers to generate or receive Output, in response to Input, for use in connection with the JFrog platform and to view suggested recommendations, shortcuts and commands. The AI Features include, without limitation, generative models, predictive models, artificial intelligence algorithms or machine learning models, learnings, datasets, natural language chat interfaces, and processes which may be powered by third-party service providers. The AI Features are subject to change. “Input” means any data (e.g. text, images, files, prompts, or other content) that Customer provides, integrates with or uploads into the AI Tools. “Output” means any data (e.g. result, prediction, recommendations, decisions, content, or other output) generated by the AI Features.
    2. AI Data, Processing, Ownership. You may provide Input to the AI Tools and receive Output from the AI Tools. Output generated by the AI Tools is a suggestion for your consideration. You warrant that you have obtained all consents and provided all notices that are necessary to use, process, and retain all Input you submit to the AI Tools. As between JFrog and its third-party service providers, and to the extent permitted by applicable law, you will (a) retain all ownership rights you may have in the data that you submit as Input; and (b) receive a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the Output for your internal business purposes. Due to the nature of the AI Tools and artificial intelligence generally, Outputs may not be unique and other users may receive similar or identical Outputs from the AI Tools, and should not be relied upon as medical, legal, financial, or other advice. You agree that no AI Tools will be used to perform automated decision making (meaning decisions that produce legal effects that significantly affect your or others’ finances, health, or personal livelihood). YOU ARE SOLELY RESPONSIBLE FOR (I) EVALUATING (BY HUMAN REVIEW) OUTPUT FOR ACCURACY, SAFETY, COMPLIANCE WITH LAWS, COMPLETENESS, AND APPROPRIATENESS OF ALL OUTPUTS BEFORE USING, DISTRIBUTING, OR RELYING ON THE OUTPUT; AND (II) YOUR DECISIONS, ACTIONS, AND OMISSIONS IN RELIANCE OR BASED ON THE OUTPUT.
    3. Training Data. JFrog will not use Customer’s data to train or improve any algorithm or model used in any artificial intelligence product or services without Customer’s prior written consent.
    4. Service Providers. To deliver and support the AI Features, JFrog engages third-party service providers, listed on the JFrog Sub-Processors page located at https://jfrog.com/trust/privacy/sub-processors/. Third-party service providers utilized by JFrog will be subject to confidentiality obligations. JFrog will share and provide access to your data with these third-party service providers to the extent necessary to operate, support, secure, or enhance the JFrog platform. By accessing and using the JFrog platform, you acknowledge and agree that your data will be processed and stored by third-party service providers.
    5. Agentic AI. The AI Features may include “AI Agents,” which are systems that can autonomously plan and execute tasks on your behalf. AI Agents might access the following data from you to perform certain tasks, such as:
      • Real-time data from any third-party applications and services it connects to;
      • Screenshots or observations of your browser or desktop to complete tasks;
      • Inferences and new data generated by the AI Agent based on its analysis.

      You should review and approve all tasks set by the AI Agents for final approval.

    6. Privacy. Any personal data will be processed in accordance with the JFrog Privacy Notice.
    7. Acceptable Use. You will abide by the requirements in the JFrog Acceptable Use Policy.
  2. TERM; TERMINATION. This Addendum commences on the Acceptance and will remain in effect as long as you continue to use the AI Features. JFrog may terminate or suspend this Addendum, or the availability of the AI Features, at any time and for any reason by providing you with notice, without liability or other obligation to you. Termination of this Addendum will not impact your agreement with JFrog. Upon any termination or expiration of this Addendum, you will promptly cease access and use of the AI Features.
  3. REPRESENTATIONS; WARRANTIES; DISCLAIMERS. Customer represents, warrants, and covenants that Customer owns or otherwise has and will have the necessary rights, licenses, and consents in and relating to the AI Features content such that, as used by JFrog and its Affiliates in accordance with this Addendum, such AI Features content does not and will not infringe, misappropriate, or otherwise violate any intellectual property rights, or other rights, of any third party or violate any applicable law. CUSTOMER ACCEPTS AND AGREES THAT ANY USE OF OR RELIANCE ON OUTPUTS IS AT CUSTOMER’S SOLE RISK AND CUSTOMER WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. JFROG DOES NOT ACCEPT LIABILITY OR RESPONSIBILITY FOR ANY INCORRECT, OFFENSIVE, UNLAWFUL, HARMFUL, OR OTHERWISE OBJECTIONABLE OUTPUT. THE OUTPUT DOES NOT REFLECT THE VIEWS, OPINIONS, POLICIES, OR POSITION OF JFROG OR ITS AFFILIATES.
  4. INDEMNIFICATION. Without limiting the scope of your obligations to indemnify and defend under your agreement with JFrog, the claims, demands, suits, or proceedings (each, a “Claim”) for which Customer indemnifies and defends JFrog and its Affiliates under the agreement with JFrog include Claims arising out of or related to: (a) the AI Features or Customer’s access and use thereof; and (b) reliance, or use of, any AI Features content.
  5. MISCELLANEOUS. Any notice required or permitted by this Addendum may, if sent by JFrog, be delivered electronically, including through the JFrog platform service or AI Features service. The following terms will survive any termination or expiration of this Addendum: Section 3 (Representations; Warranties; Disclaimers) through Section 5 (Miscellaneous), inclusive.
